Binding Legal Agreement
Please read these Terms of Service carefully before purchasing materials, utilizing our estimation calculator, or commissioning architectural works. By accessing our platform or placing an order, you agree to be bound by these terms, which constitute a valid electronic contract pursuant to the Electronic Transactions Act, 2008 (Act 772).
1. Acceptance of Terms & Scope of Operations
These Terms of Service ("Agreement") are entered into between you ("Client", "User", "Contractor") and Sellux Plaster Limited, a limited liability company incorporated under the Companies Act, 2019 (Act 992) of Ghana, having its principal operational showroom at Dr. Busia Highway, Odorkor, Accra, Greater Accra Region, Ghana.
Our operations encompass: (a) retail and wholesale supply of certified gypsum plasterboards, acoustic tiles, metal framework profiles, and skimming powders; (b) professional interior drywall and acoustic ceiling contracting; (c) bespoke fabrication of POP cornices, rosettes, and light pelmets; and (d) digital project takeoffs and cost estimations.
2. Quotations, Pricing & Cost Estimations
- Currency: All listed prices, delivery charges, and written quotes are denominated in Ghana Cedis (GH₵).
- Digital Estimations: Figures generated by the Service Cost Estimator are preliminary advisory guidelines based on baseline square meterage. They do not constitute a fixed price contract until an official on-site technical inspection is executed.
- Quotation Validity: Written formal quotations issued by our estimating department remain valid for fourteen (14) calendar days from date of issuance, subject to market fluctuations in imported raw materials.
- Variations & Change Orders: Any modifications to approved ceiling layouts, additions to dropped bulkhead heights, or uncalculated substrate repairs identified during framing require a written Change Order signed by both parties prior to implementation.
3. Orders, Invoicing & Payment Terms
Catalogue Material Sales
100% payment required upon order placement via our secure Paystack gateway, verified bank transfer, or corporate check clearance prior to warehouse dispatch.
Turnkey Contracting Projects
Standard milestone structure: 60% Mobilization upon contract signing; 30% Progress upon completion of metal framing; 10% Final Retention upon snagging sign-off.
Payment receipts and GRA-compliant tax invoices are issued electronically for every completed financial transaction.
4. Site Readiness & Client Obligations
To ensure structural integrity and timely execution, the Client warrants that:
- Safe Access: Unimpeded, safe physical access to the project site is provided for technicians and material offloading.
- Utilities: Adequate, uninterrupted 220V electricity and clean running water are available on-site for compound mixing, mechanical sanding, and laser levelling equipment.
- Substrate Stability: Concrete soffits, brick masonry, and timber rafters are structurally sound, completely free from ongoing water seepage, active leaks, or severe unlevel deflection exceeding 15mm.
- Coordinating Trades: Electrical conduit wiring, AC ductwork, and fire sprinkler rough-ins above the ceiling plane must be pressure-tested and certified before plasterboard boarding commences.
5. Custom Fabrications & Bespoke Plasterwork
Bespoke mouldings, curved bulkheads, ornamental POP cornices, and acoustic ceiling features fabricated to specific architectural drawings are custom-made goods.
Pursuant to Section 23(2) of the Electronic Transactions Act, 2008 (Act 772), custom-fabricated architectural items cannot be cancelled or returned once casting, CNC profile milling, or fabrication has commenced. Sellux Plaster guarantees that all custom pieces will strictly match approved dimensional shop drawings within ±2mm tolerance.
6. Workmanship Warranty & Quality Standards
Two (2) Year Workmanship Structural Guarantee
Sellux Plaster warrants all direct ceiling and drywall installations against structural sagging, frame deflection, and joint tape delamination for a period of twenty-four (24) months from the date of final client sign-off.
Warranty Exclusions
The warranty does not cover defects arising from:
- External water penetration from roof leaks, window frames, or plumbing pipe bursts occurring post-installation.
- Building movement, foundation settlement cracks, or seismic tremors exceeding architectural tolerances.
- Unauthorized drilling, load-bearing fixtures exceeding specified hanger capacities, or modifications by third-party contractors.
- Inadequate ventilation leading to chronic ambient relative humidity in excess of 85%.
7. Intellectual Property & Digital Content
All architectural photographs, project renderings, CAD details, website copy, calculators, logos, and technical guides displayed on this platform are the intellectual property of Sellux Plaster Limited and protected under the Copyright Act, 2005 (Act 690) of Ghana. Reproduction, scraping, or commercial exploitation without prior written consent is strictly prohibited.
8. Limitation of Liability
To the maximum extent permitted under Ghanaian law:
- Sellux Plaster Ltd shall not be liable for indirect, incidental, punitive, or consequential damages, including loss of rental revenue or commercial business interruption.
- Our total aggregate financial liability arising out of or related to any transaction, whether in contract, tort (including negligence), or statutory breach, shall not exceed the total contract sum actually paid by the Client for the specific materials or service package in dispute.
9. Cancellation, Returns & Statutory Cooling-Off
Our comprehensive return windows, restocking fees, inspection criteria, and refund timelines are set forth in our dedicated Return & Refund Policy, which is incorporated into and forms an integral part of these Terms.
10. Dispute Resolution & Governing Law
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Republic of Ghana.
In the event of any controversy or claim arising out of this Agreement, the parties shall first attempt in good faith to resolve the dispute amicably through senior management consultation within fourteen (14) business days. If unresolved, the dispute shall be submitted to mediation in Accra under the Alternative Dispute Resolution Act, 2010 (Act 798) before seeking recourse in the courts of Ghana.
